Ghost Zero Sports Terms for Leagues and Clubs
Effective
These terms are an agreement between Ghost Zero Systems, a Utah business ("Ghost Zero Sports," "we," "us"), and the league or club that creates an account ("you"). The person who signs up confirms they have authority to bind the league or club. If you register a club under a league, the league's settings and split apply to that club.
1. What Ghost Zero Sports does
Ghost Zero Sports is software that lets your league or club sell sponsorships, accept donations, show sponsors, and track player credits. We are a technology provider. We are not your agent, your fundraiser, a bank, or a party to the promises you make to sponsors, donors or players.
2. Payouts through Stripe
You receive money through your own Stripe connected account. To use payouts you must accept the Stripe Connected Account Agreement, which includes the Stripe Services Agreement. Stripe's terms govern how Stripe holds, moves and pays out funds. You authorize us to share information about you and your transactions with Stripe and to create charges, transfers, refunds and transfer reversals on your behalf as these terms describe.
You keep your Stripe information accurate. If Stripe restricts or closes your account, we may pause your listings until it is resolved.
3. Fees
We keep a platform fee from each payment, currently 6% of each sponsorship and 2% of each donation. Stripe's processing fee is also deducted before your split. Our fee is built into the price the payer sees. Before you publish a package, the dashboard shows the net amount you will receive.
We may change our fees with 30 days' notice by email. A change applies only to payments made after it takes effect.
4. Sponsorships, approval and the hold
Sponsors buy packages you create. Each package has a minimum price, and a sponsor may pay more.
- The hold. A sponsorship payment is held on the Ghost Zero Sports platform account until you approve it.
- Your duty to review. You review each sponsor's logo and business details and approve or reject within the approval window shown on your dashboard (currently [7] days).
- Rejection. If you reject a sponsor, or the window passes with no decision, the sponsor receives a full automatic refund. You receive nothing from that payment.
- Approval. When you approve, we transfer the net amount to your connected account, and to any club connected account, according to the split you set.
You set your split before publishing and you are responsible for it being correct. Changes to a split apply only to payments made after the change.
5. Donations
Donors give any amount from $5. Donations are not held for approval. The net amount is transferred under your split after the payment succeeds.
Most leagues and clubs are not 501(c)(3) charities, and gifts to them are not tax-deductible. You may enter 501(c)(3) status only if your organization holds a current IRS determination letter. If you enter it, you must also enter your exact legal name and EIN, keep them current, and tell us within 7 days if your status is revoked or lapses. You are responsible for any receipt that relies on the status you entered.
6. Player credits
You may give part of a sponsorship to a player as a credit. A player credit is your promise to the player, for example toward registration fees or kit. Ghost Zero Sports records the credit so you can see it. We do not pay players, and a credit has no cash value from us. You decide how credits are redeemed, and you honor them.
7. What you are responsible for
You, not Ghost Zero Sports, are responsible for:
- delivering every sponsor benefit you list, on time and as described
- your print and production deadlines, which you state on each package
- your refund terms after approval, which you state on each package
- everything you promise to sponsors, donors, players and parents
- your taxes on money you receive, including any reporting Stripe sends you
- your own compliance with laws on fundraising, charitable solicitation, raffles, and youth sports
- getting any consent needed from players and their parents or guardians
8. Refunds after approval
Once you approve a sponsorship, refunds follow the refund terms you published on that package. If you agree to refund a sponsor or donor after funds were transferred, we will process the refund and reverse the matching transfer from your connected account. Our platform fee and Stripe's fee on a refunded payment may not be returned to you.
9. Chargebacks and recovery
A payer may dispute a payment with their card issuer. When that happens:
- We may respond to the dispute and you agree to give us evidence within 5 days of our request, such as proof the benefit was delivered.
- If the dispute is lost or we refund to avoid one, you authorize us to reverse the transfer to your connected account and to any club account for the disputed amount, plus Stripe's dispute fee.
- If a reversal does not recover the full amount, you authorize us to deduct it from future transfers. Any amount still owed after 30 days is a debt you owe us.
We may hold transfers for an account with a high dispute rate or a pattern of undelivered benefits.
10. Acceptable sponsors
You may not approve, and we may remove, a sponsor that:
- sells anything illegal where your league plays, or anything Stripe prohibits
- promotes tobacco, vaping, cannabis, alcohol or gambling on any page or kit used by a youth division or a player under 18
- offers adult content, weapons sales, or payday or predatory lending
- promotes hate, harassment or violence against any group
- is a political campaign or candidate, unless we agree in writing
You may set stricter rules of your own.
11. Content rules
Everything you, your sponsors and your players upload must be lawful and accurate. You confirm you have the rights to the names, logos, photos and text you publish. You must not post private information about players beyond what they or their parents have agreed to. We may remove content that breaks these terms or that we receive a credible complaint about.
You grant us a license to host, display and resize your content to run the service and to show your league as a customer example. You can withdraw the customer example permission by email.
12. Suspension
We may suspend your account or pause payouts if we reasonably believe there is fraud, a breach of these terms, a legal or Stripe requirement, a high rate of disputes, or a risk to payers. We will tell you why unless the law or Stripe prevents it. During a suspension we may refund held sponsorships.
13. Termination
You may close your account at any time. We may end these terms with 30 days' notice, or right away for a serious breach. When an account closes, held sponsorships are refunded, approved sponsorships remain your responsibility to deliver, and sections 7, 8, 9, 14, 15 and 16 survive.
14. Disclaimers
The service is provided "as is." We do not promise it will be uninterrupted or error-free, and we do not guarantee any amount of sponsorship or donations.
15. Liability cap and indemnity
To the extent the law allows, neither party is liable for indirect, lost-profit or consequential damages. Our total liability under these terms is limited to the platform fees we kept from your payments in the 12 months before the claim, or $100, whichever is greater.
You will defend and indemnify us against third-party claims arising from your sponsor benefits, your promises, your content, your player credits, or your breach of these terms. We will defend and indemnify you against third-party claims that the Ghost Zero Sports software itself infringes someone's intellectual property.
16. General
Utah law governs these terms. Any dispute goes to the state or federal courts in Salt Lake County, Utah. We may update these terms with 30 days' notice by email, and continued use after that means you accept the update. If any part is unenforceable, the rest stays in effect. These terms, the sponsor and donor terms, and our privacy policy are the whole agreement.
